1. Introduction and Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Strivewin LLC, a limited liability company registered in Indiana, United States, which provides the Inviterio service ("Inviterio," "we," "us," or "our"). They govern your access to and use of the Inviterio platform, website, mobile features, APIs, and all related services (collectively, the "Service").
By creating an account, clicking "I agree," accessing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Service.
If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and the words "you" and "your" refer to that entity.
2. Definitions
- Account — the registered user account you create to access the Service.
- Workspace — the organizational unit within the Service that functions as your billing and collaboration boundary. One account may belong to multiple Workspaces.
- Event — a gathering or occasion (wedding, birthday, corporate event, etc.) you create and manage within the Service.
- Sub-Event — a component event nested within an Event (e.g., rehearsal dinner within a wedding) with its own guest list and RSVP tracking.
- Guest — an individual invited to your Event who interacts with the Service via a magic-link token without holding a registered account.
- Magic Link — a secure, cryptographically unique URL token issued to each Guest that grants access to their personalized RSVP page without requiring account creation. Magic links do not expire on their own; you may revoke one at any time by cancelling the Guest's invitation. Submitting or changing an RSVP is only accepted until the Event's RSVP deadline, after which the link still works for viewing and for the Guest data rights described in our Privacy Policy.
- Content — all text, images, data, and other materials you upload, submit, or transmit through the Service.
- Plan — a pricing tier that determines the features and limits available to your Workspace.
3. Account Registration and Security
To use the full features of the Service, you must register for an Account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Maintain the confidentiality of your password and not share your credentials with third parties.
- Enable two-factor authentication (2FA) if prompted or required for your account type.
- Notify us immediately at support@inviterio.com if you become aware of any unauthorized use of your Account.
You are solely responsible for all activity that occurs under your Account, whether or not authorized by you. We will not be liable for any loss resulting from unauthorized use of your Account.
You may not create more than one Account per person without our prior written consent, or create Accounts for the purpose of circumventing plan limits or these Terms.
4. Guest Access
Guests invited to your Events do not need to create an account. Guests access RSVP pages via secure, unique magic-link tokens sent by email or SMS. Each magic link is personal to the invited Guest and does not expire on its own, allowing Guests to revisit their invitation or update their RSVP response at any time before the Event's RSVP deadline. You are responsible for ensuring you have the right to contact each Guest you invite using the contact details you provide.
You may revoke a Guest's magic link at any time by cancelling or revoking their invitation within the Service. Revoked magic links immediately cease to provide access.
5. Plans, Pricing, and Billing
Inviterio offers the following pricing tiers:
- Free — $0. Includes two event publications per year, up to 100 guests, up to 3 sub-events per event, and core RSVP features.
- Plus — one-time payment. Each purchase includes one event publication and unlocks Plus features on your Workspace permanently: unlimited guests, budget tracker, premium designs, and a custom event subdomain.
- Pro — one-time payment. Each purchase includes three event publications and unlocks Pro features permanently: SMS invitations, seating chart and check-in, advanced analytics, and removal of Inviterio branding.
- Business — monthly or annual subscription; unlimited event publications while the subscription is active, unlimited guests, white-label guest email, and a custom event subdomain.
5.1 Event publications ("event credits")
Creating and building an event — designing the page, adding guests, drafting invitations — is free and unlimited on every plan. A credit is used only at the moment you publish an event.
- Free accounts receive two event publications per year, counted over a rolling twelve months. The allowance is granted per person, not per Workspace.
- Each one-time plan purchase adds further publications: one on Plus, three on Pro.
- A credit is not returned if you later unpublish, archive, or delete that event.
- Publishing the same event again — after unpublishing or archiving it — never costs a second credit.
- Credits have no cash value, cannot be exchanged, transferred between Workspaces, or redeemed for money.
Business subscribers do not consume credits while their subscription is active.
All prices are in US dollars unless otherwise stated. One-time plan purchases (Plus, Pro) unlock those plan features on your Workspace permanently and do not expire; publishing further events requires further purchases. The Business plan is billed in advance and renews automatically until cancelled. By providing a payment method, you authorize us to charge it for recurring payments on the Business plan.
We reserve the right to change pricing with at least 30 days' advance notice. Price changes will not retroactively affect events already purchased under a one-time plan, nor affect the current billing period for active Business subscriptions.
All payments are processed by Stripe, Inc. Your payment information is transmitted directly to Stripe and is subject to Stripe's privacy policy and terms. We do not store full credit card numbers.
6. Acceptable Use
You agree to use the Service in accordance with our Acceptable Use Policy. The key restrictions include:
- You may not use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- You may not send unsolicited bulk communications (spam) through the Service.
- You may not use the Service to transmit harmful, harassing, defamatory, or discriminatory content.
- You may not attempt to probe, scan, or test the security of the Service or circumvent technical restrictions.
- You may not scrape, harvest, or use automated means to extract data from the Service except via documented API methods.
7. Your Content
You retain ownership of all Content you submit to the Service. By uploading Content, you grant Inviterio a non-exclusive, worldwide, royalty-free license to host, store, display, transmit, process, and reproduce that Content solely to the extent necessary to provide the Service to you and your Guests, including sending invitation emails and SMS messages on your behalf.
This license terminates when you delete the Content or close your Account, subject to our data retention obligations and the recovery period described in our Data Deletion Policy.
You represent and warrant that: (a) you own or have the rights to submit all Content you upload; (b) your Content does not infringe any third-party intellectual property, privacy, or publicity rights; and (c) your Content complies with all applicable laws.
We reserve the right to remove Content that violates these Terms or our Acceptable Use Policy, without prior notice.
8. Guest Communications and Anti-Spam Compliance
When you use Inviterio to send invitations, reminders, or updates, you represent and warrant that:
- You have a legitimate basis to contact each recipient (e.g., they are invited guests, colleagues, or family members for whom you are the event host).
- Your communications comply with all applicable anti-spam laws, including the CAN-SPAM Act (United States), CASL (Canada), GDPR (EU/EEA/UK), and equivalent laws in your jurisdiction.
- You will honor opt-out and unsubscribe requests promptly and not re-send to recipients who have asked not to be contacted.
- You will not use the Service to send communications that are fraudulent, misleading, or unrelated to the event for which guest contact details were collected.
Repeated complaints, high bounce rates, or spam reports may result in suspension of email or SMS sending privileges to protect deliverability for all Inviterio users.
9. Intellectual Property
The Service, including its software, templates, designs, features, branding, and documentation, is owned by Inviterio and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it in accordance with these Terms.
The Inviterio name, logo, and other marks are trademarks of Inviterio. You may not use our trademarks without our prior written permission.
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction and without compensation to you.
10. Third-Party Services
The Service integrates with third-party providers including Brevo (email delivery), Twilio (SMS delivery), Stripe (payment processing), and Cloudflare (content delivery, DNS, and file storage). Your use of those integrations is also subject to the terms and privacy policies of those third parties. We are not responsible for the practices or content of third-party services. A complete list, with what each receives, is published at Sub-processors.
The Service may contain links to third-party websites. Those links are provided for convenience only, and we do not endorse or accept responsibility for any third-party content, products, or services.
11. Suspension and Termination
We may suspend or limit your access to the Service immediately, without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive activity, or pose a security or reputational risk to Inviterio or other users.
For less severe violations, we will typically provide notice and a reasonable opportunity to remedy the issue before suspension.
You may stop using the Service and request deletion of your account at any time. See our Data Deletion page for the process. One-time plan purchases are non-transferable and will not be refunded upon voluntary account closure except as described in our Refund Policy.
Upon termination, your license to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, limitations of liability, and dispute resolution.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INVITERIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components; that guest invitations will always reach the intended recipient's inbox; or that results from using the Service will meet your specific requirements.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INVITERIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, GUEST ATTENDANCE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO INVITERIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Inviterio and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property or privacy rights; or (e) your communications sent through the Service that violate applicable law.
15. Dispute Resolution and Governing Law
These Terms are governed by the laws of the jurisdiction in which Inviterio is incorporated, without regard to conflict of law principles.
Before initiating any formal legal proceeding, you agree to first contact us at support@inviterio.com and provide a written description of the dispute, your proposed resolution, and your contact information. We will attempt to resolve the dispute informally within 30 days.
If informal resolution fails, disputes will be resolved through binding individual arbitration, except that either party may bring claims in a court of competent jurisdiction for injunctive or other equitable relief to prevent infringement of intellectual property rights. You waive any right to participate in a class action or class-wide arbitration.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
For material changes, we may require you to re-accept the updated Terms within the Service before continuing to use certain features.
17. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Inviterio regarding the Service and supersede all prior agreements.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.
- Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Force Majeure. We are not liable for failures or delays resulting from causes beyond our reasonable control, including natural disasters, acts of government, network outages, or third-party service failures.
